SAFELIFY TERMS & CONDITIONS

Effective Date: 15th December, 2025

By accessing, subscribing to, booking, or making payment for any Safelify services, you (“Client,” “User,” or “Customer”) acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions (“Terms”).

  1. ABOUT SAFELIFY

Safelify is a travel advisory, safety, concierge, health coordination, emergency response facilitation, and risk-support platform. Safelify does not directly provide medical care, security enforcement, transportation, legal services, or emergency rescue operations. Instead, Safelify coordinates, connects, and facilitates access to independent third-party service providers and vendors.

  1. SCOPE OF SERVICES

Safelify services may include, but are not limited to:

  • Travel advisory and risk intelligence
  • Airport assistance and logistics coordination
  • Concierge and ground support services
  • Tele-advisory and health coordination
  • Emergency response facilitation
  • Vendor referrals and service scheduling

Safelify does not guarantee outcomes, safety, medical results, security outcomes, response times or uninterrupted service availability.

  1. THIRD-PARTY SERVICE PROVIDERS & VENDORS

3.1 Independent Contractors

All service providers engaged through Safelify, including but not limited to doctors, clinics, pharmacies, drivers, security agents, responders, hotels, airlines, and logistics providers—are independent third parties and not employees, partners, agents, or representatives of Safelify.

3.2 No Control or Liability

Safelify:

  • Does not supervise, manage or control how third-party services are delivered
  • Does not guarantee the quality, timeliness, legality, or suitability of third-party services
  • Shall not be liable for acts, omissions, negligence, errors, delays, misconduct, or failures of any third-party provider

All engagements with third-party providers are solely between the Client and the provider.

  1. NO MEDICAL, LEGAL, OR SECURITY GUARANTEE

4.1 Medical Disclaimer

Safelify does not provide medical diagnosis, treatment, prescriptions or clinical decision making. Any health-related support is advisory or referral-based only. Medical decisions and outcomes rest entirely with licensed healthcare professionals and the Client.

4.2 Security Disclaimer

Safelify does not provide armed security or law enforcement services and does not guarantee personal safety, crime prevention, or risk elimination.

4.3 Legal Disclaimer

Safelify does not provide legal advice. Any legal referrals are informational only.

  1. ASSUMPTION OF RISK

The Client understands and agrees that:

  • Travel, international, and on-ground activities involve inherent risks
  • Health emergencies, accidents, crime, civil unrest, infrastructure failures, and force majeure events may occur
  • Conditions in certain destinations may be unpredictable.

The Client voluntarily assumes all risks associated with travel and use of Safelify services.

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

Safelify, its directors, officers, employees, affiliates, and partners shall not be liable for:

  • Injury, illness, disability, death, loss, damage, delay, or inconvenience
  • Financial loss, business interruption, reputational harm, or emotional distress
  • Acts or omissions of third-party service providers
  • Events beyond Safelify’s reasonable control (force majeure)

If liability is imposed notwithstanding the above, Safelify’s maximum total liability, shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

  1. INDEMNIFICATION

The Client agrees to indemnify, defend, and hold harmless Safelify from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from:

  • Use or misuse of Safelify services
  • Interaction with third-party providers
  • Breach of these terms
  • Violation of applicable laws or regulations
  • Inaccurate, incomplete or misrepresentation of information provided by the client
  1. PAYMENTS, FEES & REFUNDS
  • All payments are due in advance unless otherwise stated
  • Fees may include service coordination fees and third-party charges
  • Safelify may charge non-refundable administrative or facilitation fees
  • Refunds (if any) are subject to third-party vendor policies and service status

Safelify is not responsible for refunds denied by third-party providers.

  1. CLIENT RESPONSIBILITIES

The Client agrees to:

  • Provide accurate, complete, and truthful information
  • Comply with all applicable local laws, health requirements, and travel regulations
  • Maintain appropriate travel and medical insurance
  • Follow safety instructions and professional advice

Failure to comply may result in service suspension without refund.

  1. FORCE MAJEURE

Safelify shall not be liable for delays or failure to perform due to events beyond its control, including but not limited to:

  • Natural disasters
  • Epidemics or pandemics
  • Government actions or travel restrictions
  • Civil unrest, strikes, or infrastructure failures
  1. TERMINATION OF SERVICES

Safelify reserves the right to:

  • Suspend or terminate services at its discretion for safety,legal, compliance, or operational reasons
  • Refuse service where risk is deemed unreasonable or unlawful

Termination does not entitle the Client to refunds already earned or incurred.

  1. INTELLECTUAL PROPERTY

All Safelify content, trademarks, logos, systems, and materials remain the exclusive property of Safelify and may not be copied, distributed, or used without written permission.

  1. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of [Insert Governing Jurisdiction – e.g., State of Delaware, USA or Nigeria], without regard to conflict-of-law principles.

  1. MODIFICATIONS

Safelify reserves the right to update these Terms at any time. Continued use of the platform after changes constitutes acceptance.

  1. ACCEPTANCE

By clicking “I Agree”, making payment, or using Safelify services, the Client confirms that they:

  • Have read and understood these Terms
  • Accept all limitations, disclaimers, and risk assumptions
  • Agree to be legally bound by this agreement
  1. DISCLAIMER OF WARRANTIES

Safelify services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Safelify makes no representations or warranties, express or implied, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Accuracy, reliability, or completeness of information
  • Availability, continuity, or timeliness of services

Safelify does not warrant that services will be uninterrupted, error-free, or suitable for any specific situation or destination.

  1. EMERGENCY LIMITATIONS & RESPONSE DISCLAIMER

Safelify is not an emergency service provider, emergency responder, ambulance service, rescue operator, or public safety authority.

The Client acknowledges and agrees that:

  • Safelify does not guarantee response times, outcomes, or successful intervention
  • In the event of a life-threatening emergency, the Client is responsible for contacting local emergency services immediately
  • Safelify’s role is limited to facilitation and coordination, where reasonably possible

Delays may occur due to location, infrastructure, government restrictions, provider availability, or force majeure events.

  1. DATA PRIVACY & INFORMATION SHARING

By using Safelify services, the Client consents to the collection, processing, storage, and sharing of personal, travel, and health-related information solely for the purpose of service coordination and delivery.

The Client authorizes Safelify to share relevant information with third-party service providers, emergency contacts, insurers, and partners as necessary to facilitate requested services.

Safelify does not sell personal data. Data handling practices may be further described in a separate Privacy Policy, which forms part of these Terms.

  1. AGE & LEGAL CAPACITY

By using Safelify services, the Client represents and warrants that they:

  • Are at least 18 years old (or the legal age of majority in their jurisdiction), and
  • Have the legal capacity and authority to enter into this agreement

If services are requested on behalf of another individual, the Client confirms they have obtained all required consent and authority.

  1. INSURANCE DISCLAIMER

Safelify strongly recommends that Clients obtain appropriate travel, medical, evacuation, and personal insurance.

Safelify is not responsible or liable for losses, damages, medical expenses, evacuation costs, or other expenses arising from the Client’s failure to maintain adequate insurance coverage.

  1. DISPUTE RESOLUTION

21.1 Informal Resolution

The parties agree to first attempt to resolve any dispute through good-faith negotiation within thirty (30) days of written notice.

21.2 Arbitration

Arbitration:
Any dispute arising out of or relating to these Terms shall be finally resolved by binding arbitration, conducted in accordance with applicable arbitration rules. The arbitration shall be conducted in English, and the decision shall be final and enforceable in any court of competent jurisdiction.

  1. CLASS ACTION WAIVER

The Client agrees that any claim or dispute shall be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

  1. NO PARTNERSHIP OR AGENCY

Nothing in these Terms shall be deemed to create any partnership, joint venture, agency, or fiduciary relationship between Safelify and the Client or any third-party provider.

  1. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

  1. ASSIGNMENT

The Client may not assign or transfer any rights or obligations under these Terms without prior written consent. Safelify may assign these Terms without restriction.

  1. WAIVER

Failure by Safelify to enforce any provision of these Terms shall not constitute a waiver of future enforcement of that provision or any other provision.

TERMS ACKNOWLEDGMENT & CONSENT

By proceeding with payment, I confirm that:

  • I have read and agree to Safelify’s Terms & Conditions.
  • I understand that Safelify coordinates and facilitates services but does not directly provide medical, security, transportation, or emergency services.
  • I acknowledge that all services are delivered by independent third-party providers, and Safelify is not responsible or liable for their acts, omissions, delays, or outcomes.
  • I understand that travel, health, and emergency situations carry inherent risks, which I voluntarily accept.
  • I agree that Safelify’s liability, if any, is limited to the amount paid for the service.
  • I confirm that fees may include non-refundable administrative or coordination charges and that refunds are subject to third-party policies.
  • I accept that Safelify does not guarantee outcomes, safety, or results.
